NOTICE OF COMPETITION

 

 

1. ORGANIZING ENTITIES, PURPOSE AND SUBJECT

 

1.1 The American – Hellenic Chamber of Commerce, the Athens Exchange and ERNST & YOUNG (henceforth called “Organizing Entities”) desiring to contribute to the national goal of reinforcing innovative, implementable entrepreneurship within Greece, organize a competition entitled «Make Innovation Work» (henceforth the «Competition»).

 

1.2 Purpose of the Competition is to select and support innovative business proposals (henceforth “Proposals or Proposal”), submitted by companies seated in Greece, are active in Greece and wish to enhance their extrovertness. The aim of the competition is therefore to contribute to the stimulation of Greek Entrepreneurship and the Greek Economy, through the promotion of the creative potential of Greek Enterprises and the enhancement of their competitiveness in the international business environment.

 

1.3 In order to achieve the Competition goals, contestants must submit under the terms and conditions of the present Notice, a brief but well documented description of an innovative business proposal in any sector of activity, provided that the submitted business plan and supporting data meet the required characteristics of entrepreneurial innovation and sustainability in the context of the Greek and international market trends.

Although there is no limitation as to the sector / activity to which the present proposal is concerned, business projects focusing on modern technologies and alternative forms in the following sectors and technologies are strongly encouraged:

    • food and beverages production / processing

    • agriculture, aquaculture, livestock farming

    • tourism, culture, hospitality and catering

    • medical applications, new pharmaceutical products

    • energy and environment

    • wholesale and retail trade

    • telecommunications

    • supply chain management methods (handling and storage of goods)

    • environmental technologies and applications in waste & waste management

    • Internet of Things

    • cloud applications and data management / analysis (big data & analytics)

    • fintech applications


 

The implementation and viability capabilities of the submitted proposal both within the Greek business environment and within the international markets will be particularly evaluated.

 

2. PRIZES

The winners of the present Competition will be from one (1) to three (3) in total.

 

2.1 The exact number of winners (from 1 at a minimum to 3 at a maximum) is decided by the 3rd Phase Assessment Committee, as outlined in Chapter 9.3.

 

The prize, which each of the winners shall receive, consists in providing support to the winning business proposal or proposals in order to be better prepared in order that the beneficiary winners are afterwards able to seek by their own means to raise funds from the investment community. The prize, as set out above, includes the following services:

a. Preparation of complete business file for perspective investors including the following:

  • Short presentation to potential stakeholders (Teaser)

Teaser is a one or two-page letter that presents the investment opportunity. Teaser is prepared by the seller maintaining anonymity in order to maintain confidentiality. It is sent to prospective investors to identify their initial interest in the investment opportunity. In the event that potential investors are interested they will sign a Non-Disclosure Agreement (NDA).

  • Indicative Non-Disclosure Agreement (NDA)

Following the signing of the Non-Disclosure Agreement, more information will be provided in the form of a Confidential Information Memorandum (CIM). Indicatively the main sections of the Prospectus will include: Indicatively, the main units of the Information Memorandum will include:

  • Confidential Information Memorandum

    • Introduction

    • Essential characteristics of the investment

    • Overview of the market

    • Brief description of the Company (activity, operation, resources)

    • Management Group

    • Financial results and forecasts

    • Comments and assessments of the procedure

    • Annexes

 

  • Report for purposes of presentation to potential investors

A brief presentation that will be used in meetings with prospective investors

b. Pitching event in Athens in a network of domestic and foreign investors.

c. Participation of the winners at an appropriately organized road show in the US or London (which may be the Investment Forums organized by the Athens Exchange and the American – Hellenic Chamber of Commerce)

d. Coverage of procedural costs for exploitation at ΕΝΑSΤΕP (Alternative Business Support Market – Enalaktiki Agora Stirixis Epixeiriseon)

It is clarified that the organizers do not assume any obligation vis-à-vis the winners regarding any promotion and/or financing / raising of funds from the investment community regarding the winning proposals.

 

3. WHO IS ELIGIBLE FOR PARTICIPATION – CONDITIONS FOR PARTICIPATION – documents TO BE SUBMITTED FOR PARTICIPATION APPROVAL

 

Participation in this Competition is open to legally established companies which:

 

(a) Are seated and do business in Greece.

and,

(b) meet the criteria / conditions described under items 3.1 to 3.6. below. Proof of fulfillment of the criteria / conditions is provided by means of the electronic submission and upload of the documents referred to in items 3.1 to 3.6, per criterion category, to the Commission along with the electronic submission of the business proposal in the form of the competition’s official website that has been specially designed for this purpose:

 

3.1 The company must have official legal form, e.g. it must be a Société Anonyme, a Limited Liability Company, a Private Company, a General Partnership or a Limited Partnership or a sole proprietorship. To demonstrate that the above requirement is met, businesses must electronically submit together with the submission of their business proposal the following documents:

(a) Most recent codified statute (partnerships and limited liability companies)

(b) Certification regarding the commencement of operations from the Public Fiscal Service (D.O.Y.) (regarding sole proprietorships)

 

3.2 The company should be operating at the minimum for a period of one year from its official date of establishment (or commencement of economic activity in the case of sole proprietorships).


 

3.3 The company must have submitted at least the financial statements regarding one fiscal year (depending on the legal form of the company).


 

3.4 The company should have an annual turnover in the last fiscal year of € 20,000 at a minimum and € 500,000 at a maximum. To prove compliance with conditions 3.3. and 3.4. above companies must electronically submit the following documents together with the submission of their business proposal:

(a) candidate Sociétés Anonymes, Ltd., Private Companies must submit a copy of the annual financial statements of the last fiscal year published in the General Commercial Register for which the legal deadline for approval and publication has expired. In any case, the financial statements should not concern a fiscal year that is earlier than two (2) years from the date of submission of the supporting documents.

(b) candidate General Partnerships, Limited Liability Companies and sole proprietorships must submit a Solemn Declaration with a signature authentication on behalf of the administrator/legal representative as well as the professional to which it declares the annual turnover of the previous year.

3.5. The company should not be bankrupt, under resolution process, liquidated or in special administration and should not have requested initiation of these procedures. To prove that the above requirement has been fulfilled, companies must submit to the Committee for Participation Approval the following documents: (a) Certificate concerning the non-filing of application for bankruptcy issued by the competent Court of First Instance, (b) Certificate concerning the non-bankruptcy, non – resolution, non-liquidation and non- special administration status of the company, issued by the General Business Register.


 

3.6. Have a product or service prototype available for presentation (beta public version / product prototype version).

 

4. TERMS OF PARTICIPATION AND SUBMISSION OF PROPOSALS

 

4.1 The Competition is governed by the terms of the present Notice as well as by the specific instructions of the Organizing Entities, as specified in the Competition’s website http://miw.amcham.gr. In any case, the Organizing Entities have the right to modify the terms of the Competition, and even postpone or cancel the procedure, posting an announcement to that effect in the above website and informing all contestants by any other convenient means, without the latter being entitled to make any claims, stemming from the above actions or in relation to them.

4.2 Whoever wishes to participate in the present Competition can submit only one proposal. Despite the fact that there is no restriction regarding the sector / field of activity which the submitted proposal will concern, when submitting an application for participation in the competition, interested parties may be required to declare the industry most suited to their business plan.

4.3 By the Wednesday, 28th of February 2018, companies wishing to participate in this competition must submit their proposals electronically by completing all the mandatory fields of the special submission form available on the official website of the Competition at http://miw.amcham.gr, following the completion instructions already posted to it. Participants are required to submit their proposals in Greek or English.

4.4. For the participation in the competition, in addition to the electronic submission of the proposal, the following conditions and criteria must be met:

(a) The submission by the candidates of all the required documents proving the fulfillment of the formal conditions for participation in the Competition which are listed in points 3.1-3.6 of the present competition.

 

(b) The submission by the Candidate Firms of a Declaration for the Designation of a Company Participation Representative, who will also be the contact person with the Competition Entities. The Declaration shall be accompanied by a minutes of the Board of Directors or Partners, through which the designated person will be appointed as Participation Representative of the Company in all matters of the notice of competition, including receiving the prize on behalf of the Company. In the same declaration, the Company Participation Representative will declare that the applicant company accepts all the terms and conditions included in the notice of competition as published on the competition website without exception. In the case of sole proprietorship, Participation Representative of the Company, in relation to all issues of the Competition, will be the natural person - the sole proprietor, who will declare that he / she accepts all the terms and procedures listed in the competition notice as published on the competition website.

(c) The submission on behalf of the candidates of a Solemn Declaration signed/bearing a date/ with an authentication of the signature of the Legal Representative of each Company by means of which the following will be declared: (c.1) that the proposal submitted by the company has been produced by itself and belongs exclusively to it and that the company retains all the intellectual property rights in the submitted proposal as well as all intellectual property rights in pre-existing works of the same or third parties which, according to the proposal, will be used to produce the subject-matter (product, service, method), (c.2.) that the company is aware of and accepts all, without exception, the terms and conditions contained in the notice of competition, as published on the competition website, (c.3.) that by submitting / using / evaluating / rewarding and promoting the proposal in accordance with the terms of the Competition, no intellectual or industrial property rights, commercial or industrial secrets or any contractual or other rights of third parties (natural or legal persons and even employees in case which the proposal is submitted by a legal person) national or foreign, are infringed, (c.4) the submitted proposal or part thereof has not previously been published in another entity or procedure, or in case of total or partial publication or any kind of presentation, any information regarding the said publication / presentation of the proposal must be declared.

(d) The submission of a business proposal by the candidates, which should present and fully describe innovative / original features in relation to the final product or service produced and / or the overall process of producing a product and / or providing a service or, finally, the methodology or the means of its implementation, as well as the sector/area of activity to which it relates. The proposal submitted shall include the following information:

  • Industry and targeted market analysis (e.g. estimated size of targeted market, as well as potential market share within a reasonable timeframe of 1 to 3 years).
  • Analysis of competition (inside and outside the Greek Territory for possible export activity).

  • Profile of potential clients, features and priorities of a representative type of customer (corporate or individual).

  • Quantifιcation of the competitive advantage that the company offers through its products and / or services to the potential customer.

  • SWOT Analysis.

  • Business model (way of production, distribution, pricing of product / service resulting in added value for the final customer and corresponding turnover and profitability to the business).

  • Skills, knowledge and professional experience of the Management Team

  • Preliminary Action Plan Documentation of the Next 12 Months Required for the successful operational and financial evolution of the company.

 

4.5. Participation in the competition implies the unconditional acceptance of all the terms and conditions included in the competition notice being published on the competition website, without exception.

 

5. LICENSING INTELLECTUAL PROPERTY RIGHTS - AUTHENTICATION OF CANDIDATES DATA

5.1 By submitting their proposal, participants will exclusively grant, for the purposes of the Competition, to the Organizers, without any charge borne by the latter, a non-exclusive license to use the intellectual property rights that may be included in their proposal for the purpose of examining, evaluating and rewarding each submitted proposal as well as for the purpose of announcing, on the website of the competition, the general information of the business proposals as contained in the application forms. Likewise, by submitting their proposal, Participants exclusively grant for the purposes of the Competition to the Organizing Entities, without any charge borne by the latter, a non-exclusive license to use their name, image and any other necessary element related to their personality and identity for the purpose of using these elements in the context of the election and rewarding of the winners, as well as the general promotion and presentation of this Competition.

This license is deemed to last for the entire duration of the Competition and up to one (1) year from the closing date for the submission of proposals. In case of an extension of the duration of the Competition, the license will last throughout the extension period and up to one (1) year from the new deadline for the submission of proposals.

Following the lapse of this deadline, the proposals and details of participants will be destroyed, in accordance with the applicable provisions of the Greek Legislation.

5.2 With regard, in particular, to the winning proposals, the non-exclusive license referred to in paragraph 5.1 lasts for five (5) years from the date of the announcement of the results of the Competition, for the additional purpose of promoting these proposals.

 

More specifically, with regard to these proposals, the license will also cover the following:

 

a. The ability to print materials of any kind and / or electronic posts that will describe the proposal and contain the company’s trade mark, the name or, possibly, the image of the selected participants and the free promotion of electronic posts and / or the distribution of printed materials to entrepreneurs, scientific bodies and any other recipient the Organizing Entities wish to, in Greece and abroad.

b. The presentation of films with interviews with the selected contestants either during the phase of their final evaluation in the context of the competition or after the end of the Competition procedure, the speeches of the winners during the prize award ceremony or the relevant comments made by the presenters of the awards ceremony or the members of the Organizing Entity or the sponsors to any mass media in Greece and abroad.

c. The possibility of using the content of the participation, as well as the relevant material created during the Competition, as archive material for the purposes of promoting the same in events, seminars, lectures and similar activities.

d. Any further non-exclusive use, including uses under a - c above, solely for the purpose of implementing the services constituting the prize described in clause 2.1. of this notice.

 

As to all other issues, participants will retain the intellectual rights on their proposals, in accordance with the law.

5.3 Regarding their participation in the Competition, individuals (sole proprietorships) and Company Participation Representatives must state their identity card particulars and confirm the validity of their submitted personal or other data.

5.4 Following submission of their proposals, contestants will receive an electronic protocol number confirming its final submission. Upon receipt of this number every proposal is considered submitted and the contestant has no possibility of modifying or resubmitting any parts of the proposal.

5.5 The electronic protocol number which every contestant will receive will be unique and accompany the proposal during its entire evaluation procedure. This number is the only element individualizing each proposal, since for transparency reasons the Organizing Entities have ensured through the appropriate technical means that the Competition Bodies cannot access the contestants’ personal or corporate data and company name. Only in the final phase of the selected and finalist proposals the above details of the contestants will become known under the terms and conditions of the present Notice. Moreover, contestants, as well as every visitor to the Competition’s official website, will not be able to access the content of the submitted proposals.

5.6 The proposals submitted according to the above procedure will be evidence of the contestants’ full comprehension and unconditional acceptance of the Competition terms, as these are in effect at the time of the proposal’s submission or as they may be amended during the whole period of the Competition process, as mentioned above. Similarly, the submitted proposals will also be evidence of the contestants’ unconditional acceptance of the Competition Bodies’ evaluation and decisions.

5.7 The clock posted in the Competition’s website is the official timing machine, according to which the timely submission of proposals will be judged. Therefore, every contestant will be able to submit only online his proposal, filling in all the required/ obligatory fields, from the 25th of January 2018 at 09.00 until 28th of February 2018 at 23.00 (local Greek time). If the date of submission and closing date for the submission of proposals are modified, an announcement will be posted on the Competition’s official website.

After the expiration of the submission deadline, no proposal will be accepted. Upon the expiration of the submission deadline commences the evaluation stage of the submitted proposals both with regard to their content as well as to the typical qualifications of the contestants, as mentioned in the relevant terms of the Notice.

5.8 Participants who have received an electronic protocol number for their submitted proposal will be able to withdraw that proposal from the procedure, communicating and stating their intention to the Competition Secretariat, as represented by Mrs. Katerina Tzagaroulaki/ American –Hellenic Chamber of Commerce, 109-111 Mesogeion Avenue, P.C. 115 26 Athens, tel: 210 – 69 93 559 (ext 22) fax: 210 69 85 686. In this case, and at the absolute discretion of the Competition Bodies, the contestants may be asked to submit documentation in order to verify and confirm the stated intention of withdrawing their proposal.

 

6. PARTICIPATION IMPEDIMENTS

 

6.1 The Members of the Organizing Committee, the Competition Evaluators, the members of the Board of Directors, the employees of the American – Hellenic Chamber of Commerce and the Athens Exchange as well as the 1st and 2nd degree relatives of the above, whether as natural persons or as representatives of legal persons/foundations or any members of groups or associations participating in the Competition, will not be entitled to participate in the Competition.

6.2 Impediment to the participation in the Competition is also the identity of a representative, member of the administration or employee of the TECNOPOLIS S.A. as well as their 1st and 2nd degree relatives either as natural persons or as representatives of legal persons/ foundations or any members of groups or associations.

6.3. Finally, the representatives, members of the administration and employees of the Competition sponsors-supporters, excluding the ones employed by their parent multinational companies, as well as the representatives, members of the administration of the Competition Communication Sponsors will also not be entitled to take part in this Competition.

 

7. EXCLUSION FROM CONTEST

 

Excluded from Competition are:

7.1 Proposals not complying with the terms of participation mentioned in paragraphs 3 and 4 of the present Notice or found to have been submitted by persons convicted by judgment which has the force of res judicata for a crime concerning professional conduct, participation in a criminal organization, bribery, fraud and money laundering.

7.2 Proposals submitted after the expiration of the submission deadline, incomprehensible, vague, with demeaning, threatening or offending content or harmful to a third party.

7.3 Proposals which contravene prohibitive clauses of the law and especially the legislative and regulatory framework protecting intellectual and industrial property, commercial or industrial confidentiality or a third party’s personal data.

7.4 Proposals including terms or conditions regarding the unconditional acceptance of the Competition terms and generally submitted in a way contrary to or non-fully compliant with the Competition’s participation terms.

7.5 Proposals submitted by persons with an impediment to participation, as these are listed in paragraph 6 of the present Notice.

7.6 Proposals that contain illegal or immoral material.

 

8. ESTABLISHMENT, COMPOSITION, OPERATION AND RESPONSIBILITIES OF COMPETITION BODIES

 

8.1 Competition Bodies

 

8.1.1 The basic body of the present Competition is the Organizing Committee, with the responsibilities of paragraph 8.2.3. of the Notice.

8.1.2 The Competition Bodies include the Evaluators who are appointed by the Organizing Entities and whose suitability has been ensured in order to proceed to the Evaluation of the submitted proposals. The Evaluators’ personal information and attributes are not disclosed to the participants and are submitted to a notary. The Evaluators are distinguished in 1st and 2nd Evaluation phase Evaluators. Their responsibilities will be those mentioned in paragraphs 8.3 and 8.4 of the Notice. It is clarified that the same persons may participate in the 2nd and 3rd Evaluation Phase Committees.

 

8.2 Organizing Committee

 

8.2.1 Composition of the Organizing Committee

8.2.2 Operation of Organizing Committee

 

The Organizing Committee will meet at the President’s notice and will establish quorum as long as five (5) of its members at least are present. During its meetings, which may be held through video conferencing, its members will decide voting on simple majority. The Organizing Committee’s work will be supported by a Secretariat. The Secretariat will have to keep the records of the meetings, which will be signed by all the attending members.

 

8.2.3 Responsibilities of the Organizing Committee

 

The General Responsibilities of the Organizing Committee include the arrangement of every matter relevant to the organization of the Competition as well as the coordination of the submission and evaluation of proposals. The Organizing Committee will not communicate the details of the evaluators, the evaluation scores and rankings of the submitted proposals during the Competition and afterwards.

 

8.3 1st Evaluation Phase

 

8.3.1. The 1st Evaluation Phase Evaluators are executives of a well-known specialized consulting, technology services and outsourcing firm with many years of experience in evaluating business proposals.

8.3.2. The 1st Evaluation Phase Evaluators are responsible for checking that the formal conditions for participation in the competition (as set out in detail in clause 3) are fulfilled, as well as for the completeness criteria for each proposal (as set out in detail in clause 4), and engages in the first selection of the submitted proposals and excludes from any further stage of the competition the proposals which do not meet the above-mentioned conditions and specifications and those in relation to which there is any impediment or reason for exclusion as specifically mentioned one in terms of 6 and 7 hereof. The 1st Evaluation Phase Evaluator, as a result of the above, selects the twenty (20) first ranked proposals which go to the 2nd Evaluation Phase according to the procedure described in clause 9.1. hereof.

 

8.4 2nd Evaluation Phase

 

8.4.1. The evaluation of the twenty (20) business proposals passing to the 2nd Evaluation Phase will be conducted by a five-member committee of evaluators.

 

8.4.2. The five-member committee of evaluators of the 2nd Evaluation Phase selects, based on the application of the criteria set forth in this competition as well as in accordance with the provisions of Chapter 9 regarding the evaluation procedure, the ten (10) proposals with the higher scores, which pass to the 3rd Evaluation Phase.

 

8.5. 3rd Evaluation Phase – election of winners

 

8.5.1. The evaluation of the ten (10) business proposals passing to the 3nd Evaluation Phase will be conducted by a five-member committee of evaluators.

 

8.5.2. The five-member committee of evaluators of the 3nd Evaluation Phase selects, based on the application of the criteria set forth in this competition as well as in accordance with the provisions of Chapter 9 regarding the evaluation procedure, one (1) to three (3) proposals having the highest scores and are declared winners of this competition.


9. EVALUATION PROCEDURE OF SUBMITTED PROPOSALS

The evaluation process of the submitted proposals is divided into three evaluation phases.

 

9.1 1st Evaluation Phase

 

9.1.1 After the online submission, each proposal is placed in a special electronic file.

9.1.2 Next, the contents of the proposals (without showing the contestants’ personal data) will be forwarded digitally to the 1st Phase Evaluators. Each proposal will be accompanied by the exclusive electronic protocol number attributed to it during its submission.

9.1.3 The 1st Phase Evaluators will make a first screening of the proposals based on the following procedure: (a) they will consider at first the existence of the positive conditions for participation (as specifically set out in clause 3 hereof) of the proposals as well as the reasons for their exclusion or the existence of an impediment (as specifically set out in clauses 6 and 7 hereof), excluding those proposals which do not meet all the formal positive and negative conditions for participation; (b) they will then evaluate qualitatively the proposals which have been formally accepted with respect to each of the chapters of the submitted business plan referred to in Article 4.4.. This evaluation will be carried out on the basis of a score rating of one (1) to ten (10) on behalf of the 1st Phase Evaluators, which will announce the twenty (20) proposals with the highest scores which shall pass to the next 2nd Evaluation Phase of the competition. Proposals which do not qualify for evaluation due to non-compliance with the terms and conditions of the present Notice will not receive a score. After the completion of the 1st Evaluation Phase, the scores of each proposal, as they correspond to their electronic protocol numbers, will be sent by the 1st Phase Evaluators to the Organizing Committee, which will forward it to the 2nd Phase Evaluators.

9.2 2nd Evaluation Phase

 

9.2.1 Following the transmission of the twenty (20) proposals with the highest scores by the Organizing Committee to the 2nd Phase Evaluators, the members of the 2nd Phase Evaluation Committee will qualitatively evaluate the proposals with respect to each of the chapters of the submitted business plan as referred to in Article 4.4..

9.2.2. The evaluation of each proposal by 2nd Phase Evaluation Committee will take place by means of a common marking system from one (1) to ten (10), with respect to each of the chapters of the submitted business plan as referred to in Article 4.4.. The ten (10) highest ranked proposals, which will result from the average of the scores of the 2nd Phase Evaluators, pass to the next 3rd Evaluation Phase of this competition.

9.2.3. Upon completion of the 2nd Evaluation Phase, the scores of each proposal, as these correspond to their electronic protocol number, will be sent by the 2nd Phase Evaluators to the Organizing Committee, which will forward them to the 3nd Phase Evaluators.

9.3 3nd Evaluation Phase

 

9.3.1 Following the transmission of the ten (10) proposals with the highest scores by the Organizing Committee to the 3nd Phase Evaluators, the 3nd Phase Evaluators will qualitatively evaluate the proposals with respect to each of the chapters of the submitted business plan as referred to in Article 4.4..

9.3.2. The evaluation of each proposal by 3nd Phase Evaluation Committee will take place by means of a common marking system from one (1) to ten (10), with respect to each of the chapters of the submitted business plan as referred to in Article 4.4.. The 3rd Phase Evaluators select the winners by choosing at their discretion from one (1) to three (3) proposals with the highest score, resulting from the average of the scores of the evaluators, and transmit to the Organizing Committee their decision in order that the Organizing Committee will publicly announce the winning proposals.

 

10. SPECIAL PROCEDURAL ISSUES

 

10.1. The Organizing Committee will not communicate the details of the evaluators, the evaluation scores and rankings of the submitted proposals during the Competition and after the end of the Competition. Organizing Entities reserve the right to publish the titles, a brief description and the names of the winners after posting the information on the official website of the competition. The Organizing Entities retain the right to publish the titles, a short description as well as the name of the winners following the upload of this information on the official website of the competition.

10.2. Upon completion of the above procedure, the Organizing Committee will publicly announce the winning proposals, announcing at the same time the prizes received by each of them, as well as more specific information on the procedure and way of their reward. This publication of results and prizes, as well as any other matter related to its organization, is posted exclusively on the website of the competition, is valid from the date of its posting on the said website and in case of conflict it prevails over any other information provided by the Organizing Entities to the participants (eg via email, letter, etc.).

10.3. The results of the Competition as mentioned above will be irrevocable and cannot be challenged by the participants in the Competition, who will have no right of objection or any other right of challenge in any of the stages of the competition.

 

11. COMPETITION TIMETABLE

 

Information on the Competition timetable will be uploaded to the official website http://miw.amcham.gr. This timetable is modified at any time freely by the organizers by means of a post on the above website of the Competition. Candidates must ensure that they are informed in a timely manner of any changes to the timetable by visiting the official website of the Competition.

 

12. OTHER TERMS OF THE COMPETITION

 

12.1 All information submitted by the contestants in the framework of this Competition will be kept confidential, unless otherwise specified in the terms of the present Notice. The Organizing Entities may at any stage of the Contest request the relevant documents (identity card, passport, residence permit, etc.) to cross-check or certify the participants' details according to the above terms.

12.2 The Organizing Entities will bear no responsibility for any unsuccessful attempts of the contestants to submit their business proposals. Contestants will bear full responsibility, if the submitted proposals are damaged or incomplete or generally not open to evaluation due to an error in the online submission and they also are solely responsible for the proposals they submit as well as for the accuracy and completeness of the information they state.

12.3 The submission of proposals in the framework of the present Competition involves no charges for the contestants on behalf of the Organizing Entities. Any other expense for the preparation of the proposal submitted in the framework of the present Competition will be borne exclusively by the contestants.

12.4 The Organizing Entities, as well as any other entity involved in the present Competition, will bear no responsibility in case of any false and inaccurate statements, suppression of important information by the contestant or any submission of proposals with illegal content retaining the right to cancel the participant's participation at any stage of the competition.

12.5 The Organizing Entities will bear no responsibility if the selected contestants are impossible to locate for the award of the prizes.

12.6 The present Competition is not valid in countries where participation opposes a prohibitive clause of a legislative or regulatory or other act.

12.7 Contestants will bear full and exclusive responsibility for the copyright or other protection of the submitted business proposals, as well as of the rights arising from them.

12.8 Winners are responsible for paying the relevant taxes or other expenses which may be applicable to the prizes.

12.9 The Organizing Entities are not responsible for any damage, loss, liability, or mental suffering that may be incurred by the participants.

12.10 The Organizing Entities have the right to withdraw or modify the terms and conditions of awarding the prizes for any reason and without a cause by making such an announcement on the competition website. Candidates must ensure that they are informed in a timely manner of any changes to the terms hereof, by visiting the official website of the Competition.

12.11 The Competition and the terms of the Competition are governed, construed and supplemented by the Greek Legislation. Any dispute arising out of the Competition between the Organizing Entities, the competition bodies and the participants in the Competition will be settled by the competent courts of Athens, after the parties have made an attempt to resolve it amicably based on good faith, commercial practices and current practices.

12.12. Each participant assumes all responsibility for any claim to be made against the Organizing Entities and relieves them, their employees and their representatives, as well as the members of the Committees from any liability for compensation, any kind of costs and expenses or claims of third parties that may arise from violations of the Terms of the Competition or the rights of third parties, including, but not limited to, intellectual property rights.

 

13. ISSUES RELEVANT TO THE CONTESTANTS’ PERSONAL DATA

 

13.1 The Organizing Entities announce that they will be processing the natural persons’ – contestants or natural persons members/representatives of the contestants according to the terms of the present Notice exclusively for the purposes of the Competition, according to the provisions of Law 2472/1997 “on the protection of the individual from the processing of personal data”, as valid, as well as according to the relevant decisions, acts and guidelines of the Hellenic Data Protection Authority and (from 25 May 2018 onwards) the General Data Protection Regulation (EU) 2016/679.

13.2 In particular, regarding the above mentioned natural persons – data subjects, the Organizing Entities state that they will be processing the personal data submitted on a voluntary basis to them by the contestants, according to the terms of the Notice, for the purposes of the proper holding and completion of the Competition, and will keep the data submitted to them by the contestants voluntarily for a period of one (1) year from the closing date for the submission. All the personal data gathered will be permanently deleted by the Organizing Entities and destroyed after one (1) year from the closing date for the submission at the latest, according to the terms of the Competition and the provisions of Guideline 1/2005 of the Hellenic Data Protection Authority, excluding any data subject to different arrangements in the present Notice.

 

Competition contestants and every person whose data are subject to processing, according to the terms of the present Notice, may enforce their rights stemming from Law 2472/1997 and specifically from articles 12 and 13 thereof (right of access and objection to the processing of personal data, respectively) as well as from articles 15 («Right of access to the data and to information»), 16 («Right to rectification»), 17 («Right to erasure (‘right to be forgotten’)»), 18 («Right to restriction of processing »), 20 («Right to data portability») of Regulation 2016/679. Data subjects retain the right at any time to submit a report or complaint to a competent supervisory authority (Personal Data Protection Authority, Kifissias 1-3, PC 11523 Athens, www.dpa.gr) in the event of any violation of the law about personal data.

Recipients of personal data for the execution of this Competition under the terms of the Notice will be the employees of the Organizing Entity, the Organizing Committee of the Competition and the Secretariat of the Competition.

13.3 Regarding the maximum number of twenty (20) proposals to be evaluated, the Organizing Entities announce that they will be processing the personal data submitted on a voluntary basis by the specific contestants, not only for the purpose of the proper holding and completion of the Competition but also for the purpose of promoting these proposals, according to the terms of the present Notice, the provisions of Law 2472/1997 “on the protection of the individual from the processing of personal data”, as applicable, and the relevant decisions, acts and guidelines of the Hellenic Data Protection Authority and the General Data Protection Regulation (EU) 2016/679.

The personal data of the contestants or, possibly, the holders of the relevant rights, which will be collected in electronic and print form, will be permanently deleted by the Organizing Entities and destroyed at the latest five (5) years after the closing date for the submission, according to the terms of the Competition and the provisions of Guideline 1/2005 of the Hellenic Data Protection Authority, excluding any data subject to different arrangements in the present Notice.

Recipients of personal data for the execution of this Competition under the terms of the Notice will be the employees of the Organizing Entities, the Organizing Committee of the Competition and the Secretariat of the Competition as well as the companies cooperating with the Organizing Entities in the context of the promotion of these business proposals (advertising companies, event organizers, mass media, etc.). By accepting the terms of this notice, the participants accept and consent to the transfer of the above personal data to third parties (advertising companies, event organizers, mass media, etc) selected by the Organizing Entity for the promotion of these business proposals exclusively for the aforementioned explicitly mentioned purposes. Participants are entitled to be informed at any time of any transfer as well as the person of the third party recipient and exercise all the rights reserved by Law 2472/1997 and Regulation 2016/679 as set out above. Such transfers will be made only to the above mentioned third parties, only for the above mentioned specific processing and only on condition that these third parties are subject to or provide guarantees of compliance with Law 2472/1997 and Regulation 2016/679.

13.4 In case of any modification to the provisions of paragraphs 13.1 to 13.3, contestants will be informed immediately through an announcement of the Organizing Entities, posted on the Competition’s official website http://miw.amcham.gr.

13.5 Participation in the present Competition implies the explicit and unconditional acceptance and consent of the contestants to the Organizing Entities’ keeping and processing of their personal data and of the personal data of other individuals to whom they may refer in their proposals or any other documents they may be asked to submit, having secured in any case the necessary, as the case may be, authorizations, consents or permits in this connection, for the purpose of holding and completing the Competition and submitting the proposals, according to the terms of the present Notice, the provisions of Law 2472/1997 “on the protection of the individual from the process of personal data”, as applicable, and the relevant decisions, acts and guidelines of the Hellenic Data Protection Authority and the General Data Protection Regulation (EU) 2016/679. Furthermore, the participants in this competition procedure, by means of filling the specific form available in the official website, provide the consents and assurances of this paragraph.
